The firm's Contracts and Commercial Law department advises on the transactional and advisory aspects of commercial activity across all sectors in which the firm operates.

The department drafts, reviews, and negotiates the full range of commercial agreements in Arabic and English — including construction contracts and FIDIC-based agreements, EPC and design-build contracts, supply and procurement contracts, distribution and agency arrangements, joint venture agreements, franchise agreements, consultancy agreements, memoranda of understanding, service level agreements, non-disclosure agreements, settlement agreements, and general terms and conditions. The team also advises on UAE Commercial Agencies Law compliance, commercial dispute strategy, pre-litigation demands, and debt recovery proceedings.

The department's approach to contract work is practical and commercially minded. Every agreement is drafted to reflect the client's objectives, allocate risk appropriately, and withstand scrutiny in the relevant jurisdiction — whether onshore UAE, DIFC, ADGM, or cross-border. The team is experienced in adapting international standard form contracts for the UAE market and in advising on the enforceability of key contractual provisions, including limitation of liability, indemnity, liquidated damages, and termination clauses under UAE law.
